FKSA partner Barry A. Adelman will be an Adjunct Professor of Law at the University of Michigan Law School during the 2004 winter term. He will teach a seminar entitled "Anatomy of a Deal," an introduction to business combinations, with particular emphasis on a merger involving two publicly traded entities. The course will cover strategic planning, reasons for the transaction, processes to implement strategy, obligations and rights of various constituencies, negotiation and analysis of the merger documentation, due diligence, principal legal concerns, and conditions to consummation, both legal and contractual. The seminar will also focus on the roles of the lawyers in a transaction. Mr. Adelman received his law degree from Michigan in 1969.
