FKSA partner Gerald Adler will speak at the Practising Law Institute's seminar titled "Understanding the Securities Laws 2010." The two-day program will provide an overview and discussion of the interplay among the Securities Act of 1933, the Securities Exchange Act of 1934, the Sarbanes-Oxley Act, and related SEC regulations, emphasizing both the substance of these acts and their rules, and how securities lawyers can solve practical problems. Mr. Adler will be a presenter in the session titled "Alternatives to Traditional Public Offerings," which will address, among other things, PIPEs, spin-offs, reverse mergers, registered direct offerings, and Rule 144A offerings.
