International Transactions
We represent domestic and foreign clients in transactions around the world. We advise foreign affiliates of U.S. clients and U.S. affiliates of foreign clients. We have represented:
- The Capital Markets Company, N.V. ("Capco"), a Belgian company, in connection with the acquisition by Symphony Technology Group, a strategic holding company, and Capco's management of over 95% of the shares of Capco in a private transaction.

Western Wireless International Corporation in the acquisition of providers of wireless communications systems and in the formation, financing, and operation of joint ventures with local partners to acquire licenses and to construct and operate telecommunications systems in a number of countries, including Austria, Bolivia, Côte d'Ivoire, Croatia, Iceland, Ireland, and Slovenia. Several of these engagements have included the negotiation and documentation of substantial credit facilities with bank syndicates and others. We have also represented Western Wireless International in the subsequent disposition of its interest in several of these foreign ventures.
- A Japanese multinational corporation and its principal U.S. subsidiary in their participation in a phosphate rock mining joint venture formed with a consortium of international investors, and in a number of secured financing transactions with corporate borrowers in Brazil, Argentina, and other Latin American countries.
- Interactive Systems Worldwide Inc., a developer of sports wagering software, in the acquisition of its former exclusive U.K. licensee.
- A telecommunications company in a three-party joint venture for construction of an optical fiber network in Europe. We also represented the company in connection with the agreements for construction of this network.
- Pilkington plc, a multinational manufacturer of glass and glazing products headquartered in the United Kingdom, in a private placement of $75 million in debt securities in the United States, and a concurrent amendment to three existing series of debt securities in an aggregate principal amount in excess of $500 million.
- A company providing voice, data, Internet access, and web hosting for businesses in a transaction for the establishment of a fiber optic network spanning Belgium, France, Germany, the Netherlands, and the United Kingdom.
- A foreign money manager in a cross-border employment and investment partnership arrangement with a fund based in the United Kingdom.
