Joint Ventures

We have extensive experience in structuring, negotiating, and documenting complex joint ventures and strategic alliances. We have represented:

• AT&T Wireless Services, Inc. in connection with a joint venture to bid on wireless licenses offered by the FCC in the NextWave re-auction; a number of strategic joint ventures to construct and operate wireless systems in secondary markets (including Triton PCS, Inc., TeleCorp Wireless, Inc., and Tritel, Inc.); and a joint venture to acquire a regional carrier for $2.3 billion.

• T-Mobile USA, Inc. (formerly VoiceStream Wireless) in connection with a joint venture formed with Cook Inlet Region, Inc. to acquire PCS licenses and provide wireless services, and a joint venture with Cingular Wireless to share network infrastructure.

• MasterCard International Incorporated in connection with joint venture and marketing alliance arrangements with suppliers of smart cards, card readers, and integrated circuits.

• Western Wireless International Corporation in connection with joint ventures with foreign partners to acquire wireless licenses and properties in a number of countries.

• Oxygen Media Corporation, a cable network and web site operator, in its formation and several rounds of financing with private equity, and its shareholder arrangements and employment agreements.

• A Japanese multinational corporation and its principal U.S. subsidiary in connection with a mining joint venture formed with a consortium of international investors.

• Gordian Group, LLC, a privately held investment bank, in a strategic alliance with Allied Capital Corporation.

• A money manager in the formation of a joint venture focusing on equity investments in the natural resources sector.
