In addition, he has represented hedge funds regarding their investments in public and private companies. He also advises on general corporate matters such as employment and other agreements. Mr. Adler has advised a number of special purpose acquisition companies, as well as both issuers and underwriters in public offerings. He has represented companies in all stages of development, from start-up companies in obtaining early-stage financing to mature companies seeking additional capital. He also has represented clients in private placements of debt and equity with various institutions, including insurance companies and major mutual funds.
