David I. Tanenbaum

David I. Tanenbaum joined the firm's Corporate Department in 1998, having begun his career at a law firm in Washington, D.C. He focuses on mergers and acquisitions, private equity and venture capital (domestic and emerging markets), corporate governance, exploitation of technology, and employment matters.

Mr. Tanenbaum's most recent transactions include investor-side private equity investments in the radio, outdoor advertising, machine learning, and pharmaceutical industries, including subsequent restructurings of the capital structure (debt and equity) of certain investees; a "bet-the-company" representation of a prominent acquisition target in the fine arts industry; a target-side representation in connection with the sale of substantially all of the assets of an investment advisory firm; and numerous strategic acquisitions and investments on behalf of a highly frequented, nationally known website.

Mr. Tanenbaum's experience also includes debtor- and creditor-side representations in Section 363 sales in bankruptcy and numerous acquisitions and divestitures of assets, financings, operating arrangements (including with respect to build-outs), and joint ventures relating to major participants in the telecommunications industry. In addition, Mr. Tanenbaum regularly acts as outside general counsel and advisor to new media and technology companies, a boutique investment bank, and various portfolio companies of the firm's investor clients, including with respect to employment, equity incentive, intellectual property, general contract, and licensing matters. His representations often include a significant international component.

Mr. Tanenbaum graduated magna cum laude from Brandeis University in 1992 and received his law degree in 1995 from the University of Pennsylvania Law School, where he was Executive Editor of the Journal of International Business Law.
