Gregg S. Lerner
Gregg S. Lerner, the firm's Co-Managing Partner, has a general transactional practice, including mergers and acquisitions, debt and equity financings (both public and private placements), international joint ventures, secured transactions, vendor finance arrangements, project finance, and commercial contracts. His practice currently focuses primarily on private equity transactions, representing both private equity investors and management. Mr. Lerner has been involved in the wireless telecommunications industry since the mid-1980s and has represented clients in several separate multibillion-dollar transactions (including representation of a client in a $35 billion merger with a major European telecommunications company) and clients in the issuance of several billion dollars of high-yield debt securities. In addition, he has represented a client in a tender offer and consent solicitation for $1.1 billion in outstanding high-yield debt securities; several telecommunications service providers in their financings with Cisco Systems Capital Corporation; a portfolio company of a private equity fund in a series of acquisitions of communications towers; a portfolio company of a private equity fund in its acquisition of cosmetics businesses; and a Bolivian joint venture in a secured loan from Overseas Private Insurance Corporation.
Mr. Lerner graduated from Amherst College, cum laude, in 1978 and from New York University School of Law in 1982. Prior to joining Friedman Kaplan Seiler & Adelman, he was a partner at Rubin Baum Levin Constant & Friedman, where he practiced corporate and securities law.
Mr. Lerner serves as a member of the Board of the Learning Disabilities Association of New York City.
